This General Notice and Disclaimer is the foundational disclosure for every public-facing statement made by Apex Governance LLC (“Apex”), including the apexgscore.com website, research notes, conference materials, social-media posts, podcast appearances, academic publications, and email correspondence. It is incorporated by reference into the more specific notices and disclaimers listed in the Legal Hub.

§ 01 Identity and Status

Apex Governance LLC is a Delaware limited liability company with principal operations in the United States. Apex publishes a quantitative governance scoring framework — the Apex G-Score — for selected Asian capital markets, together with related research, sample materials, and commercial data products.

Apex is not, and does not hold itself out as: a registered investment adviser; a broker-dealer; an alternative trading system; a credit-rating agency registered with any national authority; a fiduciary; an audit firm; a law firm; a tax advisor; an executor; or a sponsor of any pooled investment vehicle. Apex does not solicit or accept funds for management or for placement.

§ 02 Purpose of Public Materials

The information made publicly available through the website, social-media channels, working papers, and similar outlets is intended for general informational and educational purposes. It is directed at institutional, professional, and academic audiences who have the resources, expertise, and discretion to interpret quantitative research independently.

Public materials are not a substitute for the licensed Apex G-Score data product, which is delivered under a separate Master Subscription Agreement and is the only output Apex represents as fit for institutional decision-support purposes.

§ 04 No Reliance

You should not rely on any Apex public material as the sole or primary basis for any decision of consequence. Apex's outputs are quantitative research signals derived from publicly verifiable regulatory filings; they are subject to data lag, source error, methodology limitations, and the inherent unpredictability of corporate behavior. § 05 Reference to Specific Issuers

Apex's public materials may from time to time reference specific issuers — for example, in published case studies of historical governance failure (such as Hyflux, Evergrande, Hanergy, Kingfisher, Huishan, Yingrui, MORE Return, Calata, and CDL), in market-pathology discussions, and in cross-market comparisons. Such references describe events that have already occurred and are publicly documented; they are not statements of present opinion about the issuer's current business prospects, the conduct of its current management, or the merits of any current trading position in the issuer's securities. Where Apex references current corporate distress signals (for example, in time-sensitive case-study posts), the reference is descriptive of public regulatory filings and market events as of a stated date.

Reference to a specific issuer in a public Apex material is not, and may not be construed as: (a) a recommendation regarding any security issued by that issuer; (b) an allegation of any specific legal violation by that issuer or its officers; or (c) an opinion regarding any private dispute between that issuer and any other party.

§ 06 No Distribution Where Prohibited

The website is intended for access from jurisdictions where its publication is lawful. Apex makes no representation that its public materials, sample deliverables, or commercial products are appropriate or available for use in every jurisdiction. Persons in jurisdictions where access is restricted are responsible for complying with local law. The provision of access to the website does not constitute an offer or solicitation in any jurisdiction.

§ 07 Forward-Looking Statements

Public materials may include forward-looking statements — for example, regarding the planned addition of new country coverage, future research publications, or pipeline product features. Such statements are based on Apex's current expectations and assumptions, are subject to numerous risks and uncertainties, and are not guarantees of future outcomes. § 08 Third-Party Information

Public materials draw on data from regulatory filings made by issuers, exchanges, and supervisors in the relevant jurisdictions. Apex believes its sources to be reliable but does not independently verify every datum. § 09 Limitation of Liability

To the fullest extent permitted by applicable law, Apex disclaims any liability for any direct, indirect, incidental, special, consequential, exemplary, or punitive loss arising out of any reliance on, or use of, any Apex public material. § 10 Updates

Apex updates its public materials from time to time. The version of any disclaimer in effect at the time you access the website is the version that applies. Where a public material describes a methodology version (for example, “TBR v2.0 production calibration”), the description is intended to assist sophisticated readers and is not a representation that any earlier or alternative calibration would have produced equivalent results.
